TERMS AND CONDITIONS OF DELIVERY AND PAYMENT
PRICES: All prices quoted overleaf are purchase prices in Euro, and do not
include German statutory valued added tax. All earlier price lose their validity
as of the above date. All prices charged are those valid on the day the
respective consignment leaves our warehouse. In case of advance orders,
the prices quoted in our contract note hall apply. Quantity and wholesale
discounts can be negotiated.
DELIVERY DATES: We make every effort to meet delivery dates. In cases of
force majeure or delivery problems on the part of our suppliers, we shall be
entitled to cancel orders, or to execute them at a later date unless otherwise
requested. Delivery by instalments is possible. Claims to compensation for
damages due to delayed or non-executed delivery are excluded, as are
also claims for consequental loss.
SAMPLES: Samples can be provided for inspection over a four-week period.
Samples declared as such in our documents shall be credited to the
customer’s account if returned within four weeks.
DELIVERY: Deliveries are made carriage forward ex-warehouse Heimstetten
(near Munich) by post or parcel service, or at the purchaser's request by rail
or forwarding company. Charges are not made for packaging. The purchaser
is obliged to inspect deliveries to ensure that they are complete, and in case
of incompleteness or damage to notify the carrier immediately.
LIABILITY: We are liable for defective or faulty goods within the scope of
German statutory provisions, but not for consequential loss. Complaints must
be lodged within ten days of arrival of the respective delivery.Return consign-
ments will only be accepted after previous notification.
PAYMENT: Payment is subject to the settlement terms shown on the invoice.
Such terms include the following:
•payment in advance against a 2% discount, either via wire transfer or irre-
ocable confirmed letter of credit •payment of a deposit of 50 % of the invoice
sum, and reimbursement of the balance at sight
*net payment within 30 days (on application)

DELAY OF PAYMENT: In cases of delayed payment, we reserve the right to
dispatch further consignments against cash on delivery. We are not bound to
make further deliveries in connection with an order until outstanding
invoices have been settled in full.
DELIVERIES TO NON-GERMAN COUNTRIES:Deliveries are made to non-German
countries of orders with an invoiced value of Euro 250.- or more.Banking
charges must be assumed by the purchaser on payment of deliveries with an
invoiced value of up to Euro 1000.-. If such payments are repeatedly made
without the assumption of the banking invoices to offset some of the high
banking fees we are otherwise required to pay on transfers from abroad, If, in
such cases, the purchaser goes on to assume the banking charges, the
Euro 10.- can be subtracted from the invoice total or will be credited to his
account. The purchaser must also assume banking charges arising in
connection with payment by Eurocheque.
MISCELLANEOUS:All deliveries are made subject to these terms and conditions
of delivery and payment,which are regarded as acknowledged on placement of
order.The place of performance for delivery and payment is Heimstetten, and
the place of jurisdiction shall be Munich. We are also entitled to institute legal
proceedings at the domicile or location of the purchaser. Offers and prices are
subject to change without notice. All details are compiled with care, errors and
omissions excepted. Should one or more of these terms and conditions of
delivery and payment become invalid, the other terms and conditions shall
remain unaffected.
